1. Acceptance of Terms
By accessing or using Pifotek's services, website, or platform, you agree to be bound by these Terms of Service. These terms constitute a legally binding agreement between you and Pifotek Inc. If you are entering into this agreement on behalf of a company, you represent that you have the authority to bind such entity.
2. Service Description & Fees
Pifotek provides professional engineering, design, and strategic consulting services. The specific scope, delivery timeline, and financial obligations for any engagement will be explicitly outlined in a Master Service Agreement (MSA) or Statement of Work (SOW).
Payment Terms
Unless otherwise agreed in writing, invoices are payable within 30 days of receipt. Late payments may be subject to interest charges as permitted by law.
3. Intellectual Property
Ownership of deliverables follows the "Work for Hire" principle. Upon full payment of all fees, Pifotek assigns to the Client all rights, title, and interest in the specific custom software, designs, and assets created under a signed Statement of Work.
Pifotek Property
We retain ownership of our pre-existing libraries, tools, and methodologies used to build your product.
Client Data
The client retains full ownership of all raw data and proprietary information provided to Pifotek.
4. Limitation of Liability
"In no event shall Pifotek be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, or other intangible losses, resulting from your access to or use of our services."
5. Termination
We may terminate or suspend access to our service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
- Failure to fulfill payment obligations.
- Violation of intellectual property rights.
- Misuse of the platform or service infrastructure.
6. Governing Law
These Terms shall be governed and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions. Any disputes arising from these terms shall be settled through arbitration in Lagos, Nigeria.
